Our Terms of Trade outlines everything you need to know about stocking Lee Bee Bride - our expectations, your entitlements, and how we partner with our retailers to deliver magic to our brides.
“Lee Bee Bride” refers to Abbey Crawford trading as Lee Bee Bride. By placing an order, whether via our website, email, or any other method, you (the “Retailer”) confirm that you have read, understood, and agree to be bound by these Terms of Trade.
We offer exclusive territory rights within a 100km radius of your physical retail location, reviewed annually. To maintain exclusivity, the Retailer must purchase a minimum of 5 store sample dresses per calendar year (Jan 1st - Dec 31st). For accounts opened partway through the year, the annual minimum will be adjusted on a pro-rata basis, depending on the month the account is opened. If this minimum is not met by December 31, exclusive rights will automatically lapse without further notice as of January 1, and Lee Bee Bride reserves the right to open the territory to other stockists.
Exclusivity operates on a calendar-year basis. If the minimum order requirement (5 store sample dresses) is not met by the end of the year, the Retailer’s exclusivity will lapse starting January 1 of the following year. For accounts opened partway through the year, the pro-rata minimum will apply. Reinstatement of exclusivity is not automatic and will be considered at Lee Bee Bride’s discretion once the current year’s minimum has been fulfilled.
No minimum initial order is required. Retailers may begin with one or two styles to trial the collection and assess suitability. A 50% non-refundable deposit is due when placing an order. Prices are based on the current line sheet or listed prices online. GST and other taxes are additional. Prices may be updated every 6 months. Payment is due in full before dispatch. Delivery costs and duties are the Retailer’s responsibility.
Payment is due on the agreed date. Late payments incur 14% annual interest. Retailer pays all recovery costs in case of default. Lee Bee Bride may cancel agreements or reassign debt if payments aren’t made.
We’ll do our best to meet timelines, but delivery dates aren’t guaranteed. Delivery is considered complete when the order is delivered and confirmed by the courier. Risk transfers to the Retailer at the point of delivery. Lee Bee Bride will provide tracking details and take reasonable care in packaging and dispatching all goods. Any delivery issues must be reported within 3 business days of receipt.
Risk passes at delivery; ownership transfers only once payment is made in full. Until full payment, goods must be stored clearly as Lee Bee Bride’s property and not mixed with other stock.
Product specs may change; availability isn’t guaranteed. If out of stock, we’ll suggest substitutes. Retailers must confirm the suitability of goods. Lee Bee Bride isn’t liable for modifications made by the Retailer or customer.
Retailers must place their initial order within 14 days of their account being opened. A minimum of 5 dresses per calendar year is required to retain exclusivity.
Orders can’t be cancelled without Lee Bee Bride’s written consent. Returns are accepted at our discretion. Once goods are delivered, you have 7 business days to inspect and raise any concerns. After this timeframe, we’ll consider the order accepted in full, and no further claims, returns, or liability will be accepted. Exceptions may be made in the rare case of proven manufacturing faults, which must be supported by photographic evidence and reported promptly.
Agreement may be reviewed periodically. Lee Bee Bride can terminate this agreement with 3 months' written notice.
All warranties (express or implied) are excluded to the extent permitted by law. Lee Bee Bride’s liability is limited to the purchase price, replacement, or actual loss. Faulty product claims must be made within 7 business days of delivery and supported by appropriate evidence.
This agreement is made in trade; Consumer Guarantees Act 1993 does not apply.
No waiver of rights if Lee Bee Bride allows exceptions. Invalid clauses don’t affect the rest of the agreement. Variations to this agreement must be in writing.
We’re not liable for delays due to events beyond our control (natural disasters, legislation, etc.).
All IP remains the property of Lee Bee Bride. Retailers must use only approved marketing materials and may not edit or rebrand them without permission.
Where a Retailer has been granted territorial exclusivity, Lee Bee Bride agrees not to engage in direct-to-consumer sales or targeted marketing within that exclusive region.
Both parties must keep each other’s business information confidential unless legally required.
Disputes will be handled in good faith.
This agreement does not create a partnership, joint venture, or agency.
Retailers can’t transfer their rights without written consent. Lee Bee Bride can transfer theirs with notice.
These terms are governed by New Zealand law and jurisdiction.
